QuixChex Terms of Service

These Terms govern use of the QuixChex platform at quixchex.net by the business that holds the account (the "PayPro") and by every user the PayPro invites. Using the platform means accepting them.

1. What QuixChex is, and what it is not

QuixChex is software for quoting, invoicing, scheduling payments, running jobs and recording what happened. It is not a bank, and it is not an ODFI, RDFI, Third-Party Sender or Third-Party Service Provider under the NACHA Operating Rules. QuixChex does not originate, transmit, settle, escrow or hold funds. Where money moves, it moves through a payment processor and a financial institution, and the PayPro is the Originator of any ACH entry.

2. Eligibility, accounts and users

You represent that your business is validly organized, that you are authorized to agree to these Terms on its behalf, and that you hold every approval required to originate ACH entries and accept card payments.

  • You are responsible for every action taken under your account, including by users you invite and by staff who sign in on a phone.
  • Login credentials are yours to keep confidential. Tell us promptly if you believe one has been compromised.
  • Permissions decide what each user can see and do. Granting a permission is your decision and your responsibility.

3. Subscription, metered transactions and fees

Plans include an allowance of transactions per billing cycle. Usage is counted as transactions complete, and your current count is shown in the app. Passing the allowance never blocks a payment and never interrupts service; it moves you to the plan that fits from the following cycle. Fees are non-refundable unless we state otherwise in writing.

4. Quotes, jobs and invoices

Quotes, estimates and bids are proposals until approved. Approval is what turns one into scheduled, billable work. Amounts, taxes, tax exemptions, deposits, change orders and totals are entered and approved by you. QuixChex calculates from what you enter and does not verify it against any outside source, so the figures your client sees are yours.

5. ACH authorization

Every ACH entry requires a valid authorization obtained before the entry is initiated. A sound authorization discloses the amount, the timing and the frequency, identifies the customer, and records affirmative consent in writing, electronically, or by a similarly authenticated means.

  • Retain authorizations for the period NACHA requires, and produce a copy within two business days of a request.
  • Stop initiating entries immediately when an authorization is revoked, and update or cancel the schedule that would have drafted them.
  • Keep procedures that prevent a revoked authorization from being re-initiated.

Deposit accounts held at Cash App, Chime, Varo, Current and similar providers carry real routing and account numbers and are drafted on the ACH rail like any other bank account. The same authorization requirements apply to them.

6. Cards, wallets and in-person acceptance

Card, Apple Pay, Google Pay, terminal and hosted online checkout acceptance are each enabled by you and governed by the card network rules as well as these Terms. Rules on chargebacks, refunds, surcharging and disputes apply to you directly. Wallet and terminal methods need the payer present, so they are not available to a schedule that runs unattended.

7. Transaction integrity and data accuracy

You are solely responsible for the accuracy of routing numbers, account numbers, card details, amounts, schedules and SEC codes (PPD, CCD, WEB). QuixChex relies entirely on what you provide and performs no independent verification.

8. Returns, chargebacks and thresholds

Excessive returns or chargebacks invite scrutiny from processors, sponsor banks and networks, and can end an account. You are expected to stay within:

  • Unauthorized returns (R05, R07, R10, R29) — at or below 0.5%
  • Administrative returns (R02, R03, R04) — at or below 3.0%
  • Overall ACH return rate — at or below 15.0%

9. Crew pay, worker records and tax documents

Where you use QuixChex to record or send crew pay, the employment relationship, classification, wage-and-hour compliance and tax reporting remain entirely yours. Collecting a W-9 and issuing any required tax form is your obligation; the platform can prompt for and store the document, which is not the same as filing it. Payouts sent by handle through a payment app are recorded by QuixChex, not executed by it.

10. Field operations, location and photographs

If you use clock-in, location sharing or job photographs, you are responsible for telling your staff what is collected and for obtaining any consent the law where they work requires. Location is shared while a worker is on shift, and stops when the shift ends. Photographs you or your staff upload become part of the job record.

Before any location is collected, the worker is shown a notice and has to accept it, and we record who accepted, when, and which version they saw. Nothing is collected for a worker who has not accepted — the server refuses the reading. That acknowledgement is ours, not yours: it does not replace the notice or consent you owe them as their employer, and the platform does not change how it behaves from one state to another.

We keep raw location records for six months and then delete them automatically. When you deactivate a worker their last known position is cleared. You can erase a worker's whole location history whenever you like, from their record. Workers cannot do this themselves — if one asks us, we will send them to you.

11. Electronic signatures and records

Approvals and signatures captured through the platform are intended to be valid electronic records. Whether a given signature binds a given person in a given jurisdiction is a legal question about your documents and your process, not something the software determines.

12. Simulated and sandbox modes

Payment methods can run in Simulated, Sandbox or Live mode. Only Live moves real money. Records created in Simulated or Sandbox mode — including on any demonstration instance — are not evidence of a payment, are not a receivable, and may be reset or removed without notice.

13. Audit, oversight and information rights

QuixChex, its processors, sponsor banks, card networks and ODFIs may review your activity, request documentation about authorizations, billing practices, refunds or complaints, and require corrective action. Withholding cooperation may result in immediate suspension.

14. Risk controls

We may, without prior notice, apply dollar caps, velocity limits, scheduling restrictions, reserves or enhanced underwriting, or delay, restrict or block the initiation of transactions, where compliance, risk or a partner obligation calls for it.

15. Financial responsibility

You are responsible for returned ACH entries, card chargebacks, reversals and refunds, network fines, penalties and assessments, and any cost QuixChex or its partners incur as a result of your activity.

16. Regulatory compliance

You will comply with the NACHA Operating Rules, card network rules, federal and state banking and consumer-protection law, and applicable privacy and information-security requirements. Violations may be reported to processors, financial institutions or regulators.

17. Suspension and termination

We may suspend or end access where these Terms or the law are broken, where activity presents regulatory, financial or reputational risk, or where requested documentation is withheld. Termination does not cancel obligations already incurred.

18. Your data when the account ends

Export your records before closing an account. After termination, data is deleted or returned within a reasonable period except where retention is legally required, and deletion is not reversible.

19. Warranties

The platform is provided "AS IS" and "AS AVAILABLE". We disclaim all express and implied warranties, including any as to transaction success, settlement timing, or acceptance by a network or an institution.

20. Limitation of liability

To the fullest extent the law permits, QuixChex is not liable for ACH returns, chargebacks, unauthorized transactions, regulatory action arising from your conduct, or indirect, incidental, consequential or punitive damages. Total liability will not exceed the fees you paid in the twelve months preceding the claim.

21. Indemnification

You will indemnify and hold harmless QuixChex, its processors, sponsor banks, card networks and financial partners against claims, losses, damages, fines, penalties and costs arising from unauthorized or improper ACH or card activity, rule violations, or customer disputes and regulatory enforcement connected to your account.

22. Ownership and intellectual property

QuixChex is owned and designed by Matt Porter of Port City Processing and William Kolba, with contributions from Siddhartha Dutta.

Your own content — your client records, quotes, invoices, photographs and documents — remains yours. You grant QuixChex only the licence needed to host, process and display it in order to run the service for you.

23. Changes

These Terms may be updated. Continued use after a change takes effect is acceptance of the revised Terms.

24. Governing law

The laws of the State of South Carolina, United States, without regard to conflict of law principles.

Data Processing Addendum

This addendum forms part of these Terms and applies to the processing of personal data in connection with the platform.

Roles. The PayPro is the data controller. QuixChex is a data processor for personal data processed on the PayPro's behalf.

Scope and purpose. Personal data is processed to provide the platform, carry out transactions, meet legal obligations and follow the PayPro's documented instructions.

Security. QuixChex maintains administrative, technical and physical safeguards aligned with financial services standards, including encryption, access controls, monitoring and incident response.

Subprocessors. The PayPro authorises QuixChex to engage subprocessors under confidentiality and data protection obligations no less protective than these.

Breach notification. QuixChex will notify the PayPro without undue delay after confirming a personal data breach, consistent with applicable law.

Retention and deletion. When the account ends, personal data is deleted or returned unless the law requires it to be kept.

Governing law. This addendum is governed by the laws of the State of South Carolina, consistent with these Terms.
